Provider agreement
Additional terms for registered migration agents and Australian legal practitioners using VisaBid.

These terms apply in addition to the terms of use. Where they conflict, these prevail for providers.
1. Your credential is the whole basis of your access
You warrant that you are, and will remain while you use VisaBid, either a registered migration agent with a current MARN or an Australian legal practitioner holding an unrestricted practising certificate, and that you hold current professional indemnity insurance.
You must tell us within 5 business days if your registration or practising certificate is suspended, cancelled, made subject to a condition, or lapses; if you become the subject of an OMARA or legal services commissioner disciplinary proceeding; or if your insurance lapses. We suspend a profile automatically on a recorded expiry date, and a suspension for lapse is not a penalty - it is us declining to be the mechanism by which an unregistered person gives immigration assistance.
2. You are independent
Nothing here creates employment, partnership, joint venture or agency between us. You control how you do your professional work, you carry your own obligations under the Code of Conduct or the Legal Profession Uniform Law, and you are the supplier of the services your clients buy.
3. Quotes are your offers
Every quote you send is your offer, binding on you if accepted while it is valid. It must be accurate, must state a fixed fee or an hourly rate with an estimate of hours inclusive of GST, and must itemise disbursements separately and without mark-up.
We screen quote and profile text for statements that would breach section 25 or 26 of the Code and refuse to publish them, quoting the rule. That screening is a courtesy and a platform rule. It is not a compliance service and it is not a defence. Your obligations are yours.
4. Payment, and what you are the merchant of record for
Client payments are made to you, on your own Stripe account, with you as merchant of record. Funds settle in Australia in your balance. You issue the tax invoice under your ABN. You hold unearned client money as section 50 requires. VisaBid does not hold client money and does not act as your trustee, agent or escrow.
We deduct a service fee as a Stripe application fee at the time of payment: 0% of the professional fee for registered migration agents, or $0 flat per payment for legal practitioners. Never on disbursements. If a payment is refunded our fee is refunded with it.
Chargebacks and refunds are debited from your balance, because the payment was to you. We will give you the platform's records to defend a chargeback.
5. Our power to refund a client
Where a dispute is decided in the client's favour, or where we reasonably conclude that fees were charged for work not done or in breach of the Code, we may issue a refund from your Stripe balance for payments made through the platform. We will tell you first except where delay would defeat the purpose, we will give reasons, and you may put your case before and after.
This is a real power and we accept the corresponding duty: we will not use it as leverage in a commercial dispute with you, and if we use it wrongly we will put it right.
6. Statutory duties the platform helps with but does not assume
The platform generates the consumer guide acknowledgement, the service agreement, invoices, receipts, a statement of client money on termination, and reminders for Form 956 notification under section 312A. These are tools. The duties remain yours. We do not lodge anything with the Department on your behalf and we never will.
7. Client confidentiality
You may use client information only for the matter you were engaged on. You must not contact a client whose case you quoted on but did not win, other than through the platform, and you must not add any user to a marketing list without their separate consent.
8. Reviews
We publish reviews from clients who completed an engagement with you. We will not remove a review because it is unfavourable. We will remove one that is defamatory, discloses another person's private information, or breaches the acceptable use policy. Your reply must not disclose anything about the client's matter.
9. Liability between us
You indemnify us against loss arising from your immigration assistance, your breach of the Code or the Uniform Law, or your breach of these terms - excluding loss caused by our own breach, negligence or wrongful act.
Our liability to you is limited, to the extent the law permits, to the service fees we received from you in the twelve months before the claim. Nothing limits either party's liability for fraud, or any liability that cannot lawfully be limited. Note that the unfair contract terms regime applies to standard form contracts with small businesses as well as consumers, so if you consider any term here unbalanced we would rather hear it than defend it: legal@visabid.io.
10. Ending it
Either of us may end this agreement on 30 days' notice, or immediately for a serious breach or a credential lapse. Ending it does not end an engagement you already hold with a client - you must complete or properly terminate it, return documents, account for client money, and notify the Department of the end of your appointment within 14 days.
